1. Application of Terms

1.1 These Terms & Conditions (“Terms”) apply to all clients (“you,” “your”) who enquire about or book models via Vyne Model Agency (“we,” “us,” “our”).
1.2 A booking is only confirmed once we provide written confirmation (email or signed agreement) setting out all details (model(s), date, fee, usage, etc.).
1.3 Proceeding with or facilitating the booking after receiving those details constitutes acceptance of these Terms.

2. Fees, Payment & Commission

2.1 All fees quoted to clients include a standard agency commission (20%) unless otherwise stated. This commission will be deducted before paying the model.
2.2 A deposit may be required to secure the booking. The final balance is due within 30 days of the dated invoice.
2.3 Late payments may incur interest or administrative charges.
2.4 Usage & Additional Fees: Unless otherwise agreed, booking fees grant the client a right to use one image, via one medium, in one territory (e.g. UK) for one year. Additional use / territories / media require additional fees.
2.5 Overtime / Travel / Expenses:
 • Overtime work (outside standard hours & beyond 8 hours) is charged at 1.5× the hourly rate (or double on Sundays / holidays)
 • Travel time for the model to and from a site/location is charged at an additional £10 for every hour spent travelling.
 • All expenses incurred on your behalf will be recharged with an uplift of 15%.

3. Cancellation & Rescheduling

3.1 All cancellations must be in writing.
3.2 Cancellation fees:
 • If cancelled within 24 hours: 100% of fee charged
 • If cancelled between 24–48 hours: 50% of fee charged
 • For longer bookings, cancellation notice period equals length of booking (excluding weekends / holidays)
3.3 Rescheduling is subject to model availability and may incur additional costs.

4. Model Welfare & Working Conditions

4.1 You must provide a safe, professional environment, adequate rest, changing facilities, refreshments, and observe health & safety standards.
4.2 Models have the right to refuse or stop work if conditions deviate from agreed terms or safety is compromised.
4.3 Credit: If credit is given, it should read “[Model Name] @ Vyne Model Agency”.

5. Intellectual Property & Usage Rights

5.1 The client is granted only those rights expressly agreed. Any use beyond that is prohibited unless separately licensed.
5.2 All rights not granted remain with the model / agency.
5.3 The agency and model reserve the right to use the images for promotional purposes (model portfolio, agency marketing) unless otherwise agreed.

6. Artificial Intelligence (AI) Usage & Digital Manipulation

6.1 The Client acknowledges that the likeness, image, and personal attributes of the Model(s) represented by Vyne Model Agency are protected and may only be used as agreed in the booking confirmation.

Without prior written consent from Vyne Model Agency and the Model, the Client is strictly prohibited from:

• Using, training, or feeding the Model’s likeness, voice, or image into any artificial intelligence (AI) system, machine learning model, or algorithm.

• Generating, altering, or synthesizing any images, videos, or representations of the Model using AI or similar technologies.

• Creating “deepfakes” or any digitally manipulated content that materially changes the Model’s appearance, voice, or identity.

Any unauthorized use of a Model’s likeness in AI or digital manipulation may result in legal action and additional fees, including (but not limited to) damages for misuse of image rights and reputational harm.

Written consent, where granted, must clearly specify the scope, duration, and purpose of any AI-related usage.

7. Liability & Insurance

7.1 We act as an agent and are not liable for indirect, consequential, or special losses.
7.2 You are responsible for carrying appropriate insurance (public liability, cancellation, travel) to cover all risks under this agreement.
7.3 We are not liable for cancellations or disruptions outside our control (e.g. illness, force majeure).

8. Confidentiality & Non-Circumvention

8.1 All client and model information, rates, and contacts are confidential.
8.2 Clients must not approach models independently to bypass the agency.

9. Termination & Variation

9.1 These Terms may be varied only by written agreement.
9.2 Either party may terminate in case of material breach, with prior notice.

10. Severability & Entire Agreement

10.1 If any clause is invalid, the remainder still applies.
10.2 This document and the booking confirmation constitute the entire agreement and supersede prior discussions.

11. Governing Law

These Terms are governed by the laws of England & Wales. All disputes will be resolved in the courts of England & Wales.
